Sentinel Tax Terms of Use

Introduction and overview

This Terms of Use agreement (“Agreement”) describes the terms and conditions that apply to your access and use of Sentinel Tax's websites, products, and services (the “Service” or “Services”), owned and operated by Sentinel Tax LLC (collectively referred to as “Sentinel Tax,” “we,” “our,” or “us”). The term “you” or “User” refers to a visitor or customer of the Services.

Accepting the Terms

By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree, you may not use the Services. You must be at least 18 years of age and legally authorized to accept these terms.

Privacy and your personal information

Description of Services

The Services may include, among other things, tax coaching, business tax planning, strategy creation, consulting, preparation, filing, audit response services, entity formation, and general education and support. Sentinel Tax is not a law firm or a substitute for an attorney or law firm. Professional services are fulfilled by appropriately licensed service providers. IRS Enrolled Agents, CPAs, attorneys, or other licensed professionals performing professional tax or legal services for customers are not necessarily employees of Sentinel Tax.

No advisor-client relationship

Accessing this website, reading its content, or scheduling a discovery call does not create an advisor-client, accountant-client, tax preparer, investment-advisory, or attorney-client relationship. Any formal relationship must be established separately through signed engagement materials.

Your use of the Services

Your right to access and use the Services is personal and not transferable. You are only entitled to access and use the Services for lawful purposes. You must provide true, accurate, current, and complete information and keep your account information up to date.

Intellectual property

The contents of the Services, including text, graphics, images, logos, designs, and software, are protected under United States and applicable copyright, trademark, and other laws. The contents belong or are licensed to Sentinel Tax. You may not copy, distribute, or reuse any content without written consent.

Not an attorney, financial planner, or investment advisor

Sentinel Tax is not a law firm or a substitute for an attorney or law firm. Your personal and business financial situation is unique, and any information and advice obtained through the Services may not be appropriate for your situation. Before making any final decisions or implementing any strategy, you should consider obtaining additional information and advice from professionals fully aware of your individual circumstances.

Disclaimer of warranties

THE SERVICES, INFORMATION, AND ALL CONTENT ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. SENTINEL TAX MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE CONTENT OR OPERATION OF THE SERVICES. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. SENTINEL TAX EXPRESSLY DISCLAIMS ANY WARRANTIES OF NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of liability

SENTINEL TAX SHALL IN NO EVENT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. SENTINEL TAX'S TOTAL LIABILITY SHALL NOT EXCEED $500.00 (FIVE HUNDRED UNITED STATES DOLLARS).

Indemnification

You shall defend, indemnify, and hold harmless Sentinel Tax and its officers, directors, shareholders, and employees from and against all claims, losses, liabilities, and expenses arising out of or related to any breach of this Agreement or your use of the Services.

Governing law and disputes

ANY DISPUTE OR CLAIM RELATING TO THE SERVICES OR THESE TERMS WILL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY. WE EACH AGREE THAT DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. BY ENTERING INTO THIS AGREEMENT, YOU AGREE THAT YOU AND SENTINEL TAX ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

Modifications

Sentinel Tax reserves the right to modify or discontinue the Services at any time. We reserve the right to change these terms, and will provide notice of material changes. Your continued use after changes are published constitutes acceptance.
